Use of the Site is offered to you subject to your acceptance, without modification, of these Terms and the Company’s Privacy Policy, Cookie Policy, and any other policies referenced herein, all of which are incorporated by reference.

BY ACCESSING, BROWSING, OR USING THIS SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SITE.

1. Eligibility and Acceptance
The Site is intended for use by individuals who have attained the age of majority in their province, territory, or country of residence (which is 18 in Ontario) and who have the legal capacity to enter into binding agreements under the laws of Ontario or other applicable law. By using the Site, you represent and warrant that you meet these requirements and that any information you provide is accurate, current, and complete. If you access the Site on behalf of a corporation, partnership, government entity, or other organization, you represent that you are duly authorized to bind that entity to these Terms.

2. Limited Licence to Use the Site
Subject to your continued compliance with these Terms, Vertix Reliability and Asset Management grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Site solely for your personal, internal business, or informational purposes. You may print or download a single copy of any page from the Site for personal, non-commercial reference, provided you do not modify the content and retain all copyright, trademark, and other proprietary notices. All other rights are expressly reserved by the Company and its licensors.

3. Intellectual Property Rights
All content made available on the Site — including text, graphics, logos, icons, photographs, audio, video, engineering drawings, inspection reports, integrity assessments, reliability models, software, source code, datasets, white papers, sustainability reports, technical disclosures, presentations, and trade dress (collectively, the “Content”) — is the property of Vertix Reliability and Asset Management, its affiliates, or its licensors and is protected by the Copyright Act (Canada), the Trademarks Act (Canada), the Patent Act (Canada), and other applicable Canadian and international intellectual property laws. Except as expressly permitted by these Terms or by applicable law, you may not copy, reproduce, republish, upload, post, transmit, distribute, modify, translate, create derivative works from, sell, license, frame, scrape, mine, or otherwise exploit any Content without the prior written consent of the Company.

Vertix Reliability and Asset Management, the [COMPANY LOGO], and all related names, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You must not use any such marks without the Company’s prior written permission. All other names, logos, product and service names, designs, and slogans appearing on the Site are the trademarks of their respective owners.

4. Acceptable Use and Prohibited Conduct
You agree to use the Site only for lawful purposes and in accordance with these Terms and applicable Canadian law, including the Criminal Code (Canada). You shall not:

Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use, including the deployment of viruses, worms, trojan horses, ransomware, or other malicious code, contrary to section 342.1 of the Criminal Code (Canada) or any equivalent legislation;

Use any robot, spider, scraper, crawler, or other automated means to access the Site, harvest data, or scrape pricing, production, reliability, integrity, inspection, or operational information, except in accordance with our robots.txt file or with our prior written consent;

Attempt to gain unauthorized access to, probe, scan, or test the vulnerability of any system, network, or account associated with the Site, or breach any security or authentication measures;

Upload, post, or transmit any content that is unlawful, defamatory, obscene, hateful, harassing, threatening, or infringing, or that violates any third-party right or any applicable Canadian law, including the Competition Act (Canada), the Criminal Code (Canada), the Personal Information Protection and Electronic Documents Act (PIPEDA), or Canada’s Anti-Spam Legislation (CASL, S.C. 2010, c. 23);

Use the Site to send any commercial electronic message, unsolicited advertising, promotional materials, “spam,” chain letters, or similar solicitations in contravention of CASL or any applicable anti-spam law;
Misrepresent your identity, affiliation, or the origin of any communication, or impersonate any person or entity, including any Vertix Reliability and Asset Management officer, employee, contractor, or supplier;
Use the Site, or any Content, for any commodities trading, price benchmarking, financial product development, or algorithmic decision-making without a separate written agreement with the Company;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas of any software made available through the Site, except to the extent permitted by mandatory law.

5. User Submissions and Account Security
Certain areas of the Site (including supplier registration portals, tender platforms, career pages, client portals, and contact forms) may allow you to create an account or submit information (“User Submissions”). You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must promptly notify the Company of any unauthorized use or suspected security breach.
By making a User Submission, you grant Vertix Reliability and Asset Management a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sub-licensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such submission for purposes related to the Business, subject to PIPEDA and other applicable data-protection laws. You represent and warrant that you own or otherwise control all necessary rights in your User Submission and that it does not contain confidential third-party information or personal information that you are not authorized to share.

6. Forward-Looking Statements
The Site may contain “forward-looking information” within the meaning of applicable Canadian securities laws (including National Instrument 51-102 – Continuous Disclosure Obligations), such as statements concerning the Company’s service offerings, project pipeline, capital expenditure, growth strategy, sustainability targets, financial performance, and similar matters. Forward-looking information is not a guarantee of future performance and involves known and unknown risks, uncertainties, and assumptions — including commodity-price volatility, client demand, regulatory changes, operational risk, environmental incidents, technological developments, and macro-economic conditions — that could cause actual results to differ materially from those expressed or implied. You should not place undue reliance on any forward-looking information, which speaks only as of the date it was made. Except as required by applicable securities law, the Company undertakes no obligation to update or revise any forward-looking information.

7. Reliability, Integrity, and Technical Information
Any references on the Site to oil, gas, condensate, or natural-gas-liquids reserves, production, contingent resources, or prospective resources — whether of clients or otherwise — are based on assessments prepared in accordance with the standards specified at the point of disclosure (for example, National Instrument 51-101 – Standards of Disclosure for Oil and Gas Activities, the Canadian Oil and Gas Evaluation Handbook (COGEH), or SPE-PRMS). Such estimates are inherently uncertain and may be revised as additional information becomes available. Reliability assessments, integrity reports, inspection summaries, fitness-for-service evaluations, risk-based-inspection (RBI) outputs, and similar technical information made available on the Site are provided for general informational purposes only, are not a substitute for site-specific engineering analysis under the Professional Engineers Act (Ontario) or equivalent legislation in your jurisdiction, and must not be relied upon for investment, drilling, completion, abandonment, transactional, regulatory, or operational decisions.

8. No Investment, Legal, Tax, or Engineering Advice
Information made available on the Site is provided for general information only. Nothing on the Site constitutes, or should be construed as, an offer to sell or a solicitation to buy any securities, commodities, derivatives, or other financial instruments, nor does it constitute investment, legal, tax, accounting, or professional engineering advice within the meaning of the Professional Engineers Act (Ontario) or equivalent legislation. You should consult your own qualified Canadian advisers, including a licensed professional engineer where applicable, before making any decision based on Site Content. Press releases, regulatory filings, and statutory disclosures are accurate as of the date issued; the Company does not undertake to update them except as required by law.

9. Health, Safety, Security, and Environmental Information
Any health, safety, security, environmental, sustainability, ESG, or operational information made available on the Site (including emissions data, incident statistics, safety data sheets, technical bulletins, and product-handling guidance) is provided for general awareness. It is not a substitute for product-specific Safety Data Sheets prepared under the Hazardous Products Act (Canada) and the Hazardous Products Regulations (WHMIS 2015), the Occupational Health and Safety Act (Ontario), the Canadian Environmental Protection Act, 1999, applicable provincial energy and pipeline regulations (including those administered by the Canada Energy Regulator and the Technical Standards and Safety Authority of Ontario), industry standards (such as CSA Z662, API, ISO, IOGP, IPIECA), or competent professional judgement. Persons handling petroleum products, pipeline equipment, drilling fluids, chemicals, or operating equipment must rely on the official, current Safety Data Sheet and applicable laws of their jurisdiction.

10. Third-Party Content, Links, and Services
The Site may contain links, references, or integrations to websites, applications, or services operated by third parties (including clients, joint-venture partners, regulators, industry bodies, social-media platforms, and analytics providers). Such links are provided solely for convenience and do not constitute endorsement. The Company has no control over, and accepts no responsibility for, the content, availability, accuracy, security, or practices of any third-party site or service. Your use of any third-party site is at your own risk and subject to the terms of that third party.

11. Privacy and Data Protection
Personal information collected through the Site is processed in accordance with the Company’s [Privacy Policy] and [Cookie Policy], which form an integral part of these Terms. The Company complies with the Personal Information Protection and Electronic Documents Act (PIPEDA), Canada’s Anti-Spam Legislation (CASL), and the privacy and electronic-communications laws of the Province of Ontario, including the Freedom of Information and Protection of Privacy Act (FIPPA) and the Personal Health Information Protection Act, 2004 (PHIPA) where applicable. To the extent the Company processes personal information of individuals located outside Canada, it will comply with such other data-protection laws as may apply (including, where applicable, the EU/UK GDPR). By using the Site you consent to such processing and warrant that all personal information you provide is accurate.

12. Export Controls, Sanctions, and Trade Compliance
The Site, the Content, and any software made available through it may be subject to export-control and economic-sanctions laws, including the Export and Import Permits Act (Canada), the Special Economic Measures Act (Canada), the United Nations Act (Canada), the Justice for Victims of Corrupt Foreign Officials Act (Sergei Magnitsky Law), and any sanctions administered by Global Affairs Canada. To the extent applicable to your access or use of the Site, you must also comply with United States (EAR, OFAC), European Union, United Kingdom (OFSI), and United Nations sanctions and export-control regimes. You represent and warrant that you (a) are not located in, organised under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions; (b) are not a sanctioned or restricted party under Canadian or other applicable sanctions lists; and (c) will not access, use, export, re-export, or transfer the Site or any Content in violation of applicable trade-compliance laws.

13. Anti-Bribery and Anti-Corruption
Vertix Reliability and Asset Management conducts its Business in compliance with the Corruption of Foreign Public Officials Act (Canada) (CFPOA), the bribery and secret-commissions provisions of the Criminal Code (Canada), and other applicable anti-bribery and anti-corruption laws (including the U.S. Foreign Corrupt Practices Act and the UK Bribery Act 2010 to the extent applicable). By using supplier, tender, or commercial portals on the Site, you agree to comply with such laws and with the Company’s [Code of Conduct] and [Supplier Code of Conduct], and you confirm that you have not offered, paid, or received any bribe, kickback, facilitation payment, or other improper inducement in connection with your dealings with the Company.

14. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY, CONDITION, OR REPRESENTATION OF ANY KIND, WHETHER EXPRESS, IMPLIED, COLLATERAL, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, Vertix Reliability and Asset Management AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS, INCLUDING THOSE OF MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND TITLE, WHETHER ARISING FROM THE SALE OF GOODS ACT (ONTARIO), THE CONSUMER PROTECTION ACT, 2002 (ONTARIO), OR OTHERWISE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Vertix Reliability and Asset Management, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, PRODUCTION, BUSINESS OPPORTUNITY, GOODWILL, OR DATA — ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WHERE LIABILITY CANNOT BE EXCLUDED UNDER APPLICABLE LAW (INCLUDING THE CONSUMER PROTECTION ACT, 2002 (ONTARIO)), THE COMPANY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100). NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY WHICH CANNOT BE LIMITED OR EXCLUDED BY THE LAWS OF ONTARIO OR CANADA.

16. Indemnification
You agree to indemnify, defend, and hold harmless Vertix Reliability and Asset Management and its affiliates, and their respective directors, officers, employees, agents, contractors, and licensors, from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable legal fees on a full-indemnity basis) arising out of or relating to (a) your access to or use of the Site; (b) any User Submission you make; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

17. Suspension and Termination
The Company may, at any time and without notice, modify, suspend, or discontinue the Site (in whole or in part), terminate your access, remove or disable any Content or User Submission, and revoke any licence granted under these Terms, for any reason, including suspected breach. Provisions which by their nature should survive termination shall do so, including those concerning intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

18. Force Majeure
The Company shall not be liable for any failure or delay in performance of its obligations relating to the Site to the extent caused by events beyond its reasonable control, including acts of God, severe weather, ice storms, wildfires, earthquakes, floods, fires, pipeline incidents, refinery or terminal disruptions, war, terrorism, civil unrest, sanctions, embargoes, governmental or regulatory action (including orders by the Canada Energy Regulator or any provincial authority), pandemic, labour disputes or strikes, cyber-attacks, or interruption of utilities or telecommunications.

19. Modifications to the Terms
Vertix Reliability and Asset Management may revise these Terms from time to time. The most current version will be posted on the Site with an updated “Last Updated” date. Material changes may be highlighted on the homepage or notified by email where appropriate. Your continued use of the Site after such changes constitutes your acceptance of the revised Terms.

20. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to any mandatory consumer-protection laws of your province or country of residence (including, where applicable, the Consumer Protection Act, 2002 (Ontario)), you and the Company submit to the exclusive jurisdiction of the courts of the Province of Ontario sitting in Toronto for the resolution of any dispute, controversy, or claim arising out of or in connection with these Terms or the Site. The Company may, at its option, refer any commercial dispute to final and binding arbitration administered by the ADR Institute of Canada (ADRIC) under its Arbitration Rules then in force, with the seat of arbitration in Toronto, Ontario, Canada, and proceedings conducted in English. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any cause of action arising out of or relating to these Terms or the Site must be commenced within the limitation period prescribed by the Limitations Act, 2002 (Ontario).

21. Severability and Waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction in Ontario or elsewhere, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect. No failure or delay by the Company to exercise any right under these Terms shall operate as a waiver of that or any other right.

22. Assignment
You may not assign or transfer your rights or obligations under these Terms without the Company’s prior written consent. The Company may assign these Terms, in whole or in part, to any affiliate or in connection with a merger, acquisition, corporate reorganisation, or sale of assets.

23. Language
The parties have requested that these Terms and all related documents be drawn up in English. Les parties ont demandé que la présente convention ainsi que tous les documents s’y rapportant soient rédigés en anglais.

24. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any other notices or policies referenced on the Site, constitute the entire agreement between you and Vertix Reliability and Asset Management regarding the Site and supersede all prior or contemporaneous agreements, communications, and proposals on the subject.
